Terms of Service

These Terms of Service ("Terms") govern your access to and use of UpLvl ("Service"), operated by NanoCorp, based in France. By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

What UpLvl Is

UpLvl is a daily habit tracking SaaS (Software as a Service) that helps you rate five life pillars — Career, Sport, Projects, Nutrition, and Habits — on a 1–5 scale each day. The Service includes daily check-ins, XP and streak tracking, a gamified level system, a progress dashboard, and optional weekly reports.

Service Availability

We aim for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or reasons outside our control. We are not liable for any losses resulting from service interruptions.

Eligibility

You must be at least 16 years old to use UpLvl. By creating an account, you confirm that you meet this age requirement. If you are under 18, you confirm that you have obtained parental or guardian consent.

2. Free and Pro Tiers

Free Tier

UpLvl is free to use with full access to the core habit tracking experience: daily check-ins for all 5 pillars, XP system, streak counter, progress dashboard, and 7-day charts. No credit card is required to sign up.

UpLvl Pro — Monthly

UpLvl Pro (monthly) is billed at $9.99 USD per month. It includes all Free tier features plus: Streak Shield (miss one day per week without losing your streak), personalised Weekly Progress Reports, and AI-powered daily coaching tips. Billed monthly. Cancel anytime.

UpLvl Pro — Annual

UpLvl Pro (annual) is billed at $79.99 USD per year (~$6.67/month), saving approximately 33% compared to the monthly rate. Same Pro features. Cancel anytime. No partial-year refunds after the annual payment is processed unless required by applicable law.

Feature Changes

We reserve the right to modify, add, or remove features from any tier. We will provide at least 30 days' notice for changes that materially reduce Pro tier features. Free tier features may change without notice.

3. Subscription Billing & Payments

Payment Processor

All payments are processed by Stripe, Inc. By subscribing, you also agree to Stripe's Terms of Service (stripe.com/legal). UpLvl does not store your card details.

Billing Cycle

Monthly subscriptions renew automatically every 30 days. Annual subscriptions renew automatically every 365 days. You will be charged on the same calendar date each cycle.

Failed Payments

If a payment fails, we will retry up to 3 times over 7 days. If payment cannot be collected, your Pro access will be suspended until payment is resolved. You will receive an email notification for each failed attempt.

Price Changes

If we change the subscription price, we will notify you by email at least 30 days in advance. The new price will apply at your next renewal date. If you do not cancel before the renewal, you accept the new price.

Taxes

Prices shown are exclusive of applicable taxes (VAT, GST, etc.) unless stated otherwise. You are responsible for any taxes applicable to your jurisdiction.

4. Cancellation Policy

How to Cancel

You may cancel your Pro subscription at any time by contacting us at hello@uplvl.app. We will process your cancellation within 2 business days and confirm by email.

Effect of Cancellation

Cancellation takes effect at the end of your current billing period. You will retain Pro access until that date. After expiry, your account reverts to the Free tier and Pro-only data (weekly reports, coaching tips) will no longer be accessible, though your check-in history is always preserved.

Refunds

Monthly subscriptions: no refunds for partial months. Annual subscriptions: no partial-year refunds unless your country's consumer protection law requires otherwise. If you believe you are entitled to a refund under applicable law, contact us at hello@uplvl.app within 14 days of the charge.

Account Deletion

Deleting your account does not automatically cancel an active subscription. Please cancel your subscription first, then request account deletion via hello@uplvl.app.

5. User Responsibilities

Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at hello@uplvl.app if you suspect any unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account that results from your failure to keep your credentials secure.

Accurate Information

You agree to provide accurate, current, and complete information when creating your account. Providing false information (e.g., a fake email address) may result in account suspension.

Acceptable Use

You agree not to: attempt to access other users' accounts or data; reverse-engineer, decompile, or scrape the Service; use the Service to send spam or engage in fraudulent activity; interfere with or disrupt the Service's infrastructure; resell or sublicense access to the Service.

Content

Any notes or text you enter in check-ins remain your property. You grant us a limited license to store, display, and process this content solely to provide the Service to you. We do not use your personal notes for training AI models or for marketing purposes.

6. Limitation of Liability

No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPLVL AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

Cap on Liability

In any event, our total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or €100 EUR, whichever is greater.

Consumer Rights

Nothing in these Terms limits or excludes any statutory rights you may have as a consumer under French law or EU consumer protection regulations that cannot be lawfully limited or excluded.

7. Intellectual Property

Our IP

The UpLvl name, logo, interface design, software, and all original content on the Service are owned by NanoCorp and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without our express written permission.

Your Data

You own your personal check-in data. We claim no ownership over your notes or ratings. See Section 5 for the limited license you grant us to operate the Service.

8. Termination

By You

You may stop using the Service and request account deletion at any time by contacting hello@uplvl.app.

By Us

We may suspend or terminate your account immediately without notice if you violate these Terms, engage in fraudulent activity, or if we are legally required to do so. In cases of non-material violations, we will give you at least 7 days' notice and an opportunity to remedy the violation.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 6 (Limitation of Liability), 7 (Intellectual Property), and 9 (Governing Law) survive termination.

9. Governing Law & Disputes

Governing Law

These Terms are governed by the laws of France, without regard to its conflict-of-law provisions. If you are an EU consumer, you also benefit from mandatory consumer protection laws in your country of residence.

Dispute Resolution

In the event of a dispute, we encourage you to contact us first at hello@uplvl.app to seek an amicable resolution. If a dispute cannot be resolved informally, it shall be submitted to the competent courts of France, except where mandatory consumer protection laws in your jurisdiction grant you the right to bring proceedings in your local courts.

EU Online Dispute Resolution

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 30 days before any material changes take effect. Minor changes (e.g., clarifications, typos) may be made without notice. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after a material change constitutes your acceptance of the new Terms.
